Terms of service

1. The service

Mithaq ERP is a cloud ERP service provided by Mithaq Technologies FZ LLC ("Mithaq", "we"). These terms apply to the company that signs up ("you") and to every user you invite.

The modules, number of users, storage and support included in your subscription are those of the plan and add-ons shown in your account.

2. Accounts and users

The person who signs up confirms that they are authorised to accept these terms for the company. The account owner is responsible for the users they add and the access they give.

Keep passwords confidential. Tell us at once if you suspect that your account has been used without permission.

3. Free trial

New subscriptions start with a free trial of the length shown when you sign up. The trial starts after a one-time card check of AED 1 (or the same amount in your chosen currency). The card check is confirmed by a receipt; it is not a subscription charge, it is not refunded and it is not deducted from later invoices. A sign-up whose card check is not completed within a few days is closed.

At the end of the trial we issue your first invoice; the subscription becomes active when it is paid. If the first invoice is not paid within the grace period, access may be suspended.

4. Fees, invoices and VAT

Fees are charged in advance per billing period (monthly or yearly) for the plan, extra users and add-on modules. Prices exclude VAT, which is added at the UAE rate on each tax invoice.

Invoices are due on the due date shown. We send reminders before and after the due date. Accounts with overdue invoices may be marked past due and, after the grace period, suspended until payment is received.

5. Currency

Prices are set in UAE dirhams (AED). You may choose to be invoiced in AED, US dollars (USD) or euros (EUR). Each invoice is issued in your chosen currency at our published exchange rate on the day it is issued, and shows the AED equivalent.

Your currency can be changed by you before your first regular invoice; after that, only our team can change it.

6. Changes to your subscription

Upgrades (a higher plan, more users, more modules or a switch to yearly billing) apply immediately; we credit the unused part of the current period and charge the difference pro rata.

Downgrades take effect at the end of the current period. During a trial, changes apply immediately at no charge.

7. Cancellation

You can cancel at any time from your account. Cancellation takes effect at the end of the paid period and you keep access until then. You can resume before that date.

After the subscription ends we keep your data for 30 days so that you can export it, after which it may be deleted.

8. Your data

You own the data you enter. We process it only to provide the service, as described in our privacy policy, and we protect it with access controls, encryption in transit and daily backups.

9. Acceptable use

Do not use the service for unlawful purposes, to infringe the rights of others, or in a way that harms its security or availability.

10. Availability and support

We aim for high availability and announce planned maintenance in advance. Support is provided through chat, email and tickets during business hours; plan-specific service levels apply to Enterprise agreements.

11. Liability

To the extent permitted by law, our total liability under these terms is limited to the fees you paid in the twelve months before the claim. We are not liable for indirect or consequential losses.

12. Governing law

These terms are governed by the laws of the Emirate of Sharjah and the federal laws of the United Arab Emirates. The courts of Sharjah have jurisdiction.
